Responsibilities and practice

The Birmingham office of Dentons Sirote is seeking an experienced Corporate Paralegal to join our Corporate Practice Group.  The person hired for this position will work closely with our attorneys and other staff members to assume such responsibilities as

  • Work closely with attorneys related to commercial real estate transactions and LLC formations.
  • Draft and modify LLC documents and agreements.
  • Assist attorneys with due diligence.
  • Prepare summary/timeline of Purchase and Sale Agreements.
  • Draft title objections and responses to title objections.
  • Draft real estate closing documents.
  • Review real estate and loan documents.
  • Oversee signature conferences for closings.
  • Complete title and survey review.
  • Provide extensive communication with title agents and surveyors.
  • Communicate with county and local government regarding zoning regulations.
  • Review closing/lender checklists and assist attorneys with fulfillment of closing requirements.
  • Assemble final documents for closing.
  • Assist with closing transcripts preparation.

Requirements

Minimum Qualifications

  • Bachelor’s degree in related field or certificate from an accredited paralegal program is preferred.
  • Minimum of three years of corporate related experience.
  • Must have thorough knowledge of legal principles and practices.
  • Must have excellent oral and written communication skills.
  • Must have excellent organizational skills.
